Angels Voice Network TV Program
and Subscription Lease Agreement

I hereby agree to this AMERICAN VOICE NETWORK, LLC TV Program Lease and Subscription Agreement as set forth in the terms below:

The Angels Voice Network

SUBJECT TO LEASE. Lessor shall lease video storage space on the Angels Voice Network TV Channel for programming purposes to the lessee as listed herein:

LEASE TERM. The term on this lease shall be for 365 days from the date herein and automatically renews for a 5-year term thereafter. In the event the Lessor or Lessee desires to terminate this lease, written notice must be given to the other party at the address provided herein and postmarked not less than 30 days prior to the upcoming lease expiration date. Failure to give said notice in accordance herewith automatically renews the term of this lease.

PAYMENT TERMS. The Lessee shall make a one-time set-up fee payment of $200.00 plus $900.00 for 2 months of programming fees (one month’s fees will be held in reserve in the event of non-payment). After the first 30 days, a $450 automated draft payment will be made on the first of each month for a total annual payment of $5400.00. Should the lessee desire to make an annual payment in full, the annual payment will be discounted to $4800.00 plus the $200.00 set-up fee.

Lessee will receive 25 GB of video or content storage space for Angels Voice Network included in the base price. This should allow approximately 30 minutes of programming time each week for a year if filmed in 720dpi or 1080dpi. We cannot accept filming in any format less than 720dpi. 4HD filming will consume much more storage space and lessee will be charge accordingly..

Once the 25GB of content storage space is full, the lessor will automatically provide additional storage in increments of 25GB at $2/GB/mo (or $50/mo) unless more is requested from lessee.

Angels Voice Network contracts with third party technology companies to provide and upload video content for the Angels Voice Network server for video hosting and distribution synchronization.

Maintenance and technical support with content uploads, and all TV program technical support will be charged at a rate of $75 per 15 minutes of technical support.

TV Program same day video distribution sync (48hr business day only, Monday to Friday). A same day distribution sync fee of $100 will be applied per video content distribution sync on Angels Voice Network TV. Normal upload time is approximately 7 business days or less, but, under extenuating circumstances can take up to 29 days.

In the event any payment due hereunder is not received on or before the due date, Lessee shall pay to Lessor, in addition to such payment or other charges due hereunder, a late fee in the amount of $50.00. The Lessee shall be charged and assessed 25% of the amount due for each check that is returned to the Lessor as unpaid for any reason.

APPROPRIATE USE OF Angels Voice Network Program(s). The Angels Voice Network Program(s) may only be used for appropriate Video and Photos that fit the names of The Angels Voice Network Program. Their use must comply with all laws, ordinances, and regulations relating to the possession or use of Angels Voice Network TV. These domains may not be used for adult content, the sale of firearms, the mailing of spam or any other questionable uses. The predetermined uses of the domain name(s) are as follows:

DELIVERY OF Angels Voice Network Program(s). Lessor shall be responsible to deliver the Angels Voice Network Program specified within this lease by means of adding Lessee’s business contact information including business name, business address(es), business telephone number(s), and a reasonable amount of information specific to the business to the content of the Angels Voice Network Program. Completion of these changes to the publicly visible content on the Angels Voice Network Program shall constitute delivery hereunder. Lessor shall have 90 to 145 days to complete such delivery, but in no way is responsible for any delays by third-parties outside of Lessor’s control including the approval process from entities including but not limited to Roku and Amazon.

Lessor and Lessee agree the consideration Lessee agrees to pay under this lease is based upon the positioning and visibility of the lessee’s program in the Angels Voice Network TV Search. The parties further acknowledge and agree altering the content on any Angels Voice Network TV Program can positively and negatively affect its position in the search. Therefore, Lessor reserves the right, in its sole discretion, to limit the changes to existing content. As neither party can directly control any search engine and rankings for any Angels Voice Network TV Program, Lessee hereby releases Lessor from any liability or responsibility arising from any change in search ranking of the Angels Voice Network TV Program.

ALTERATIONS. Lessee shall make no alterations to the use of the Angels Voice Network TV Program(s) from the original agreed upon use without prior written consent of Lessor.

MAINTENANCE OF Roku TV & Fire TV Program. Lessor shall maintain at the Lessor cost, the Angels Voice Network TV Program herein specified and content, as it exists on this date. Such as, Angels Voice Network TV Program shall maintain a minimum of 97% of up time.

Maintenance and technical support with content uploads, and all TV program technical support will be charged at a rate of $75 per 15 minutes of technical support.

Lessee can maintain their own Angels Voice Network TV Program if agreed upon and contracted.

RETURN OF Angels Voice Network TV Program(s). At the end of the lease term, Lessor will have the right, but not the obligation, to amend the content to its original form, including the removal of all information specific to the Lessee’s business.

Roku TV & Fire TV Program AND OWNERSHIP. The Angels Voice Network TV Channel and Program shall at all times remain in the name of Lessor, his heirs, successors and assigns, and shall remain the responsibility of Lessor for the duration of this lease. Lessor shall keep registration up to date, notwithstanding Lessor shall not be responsible for errors or actions made by the registrar. Nothing herein shall be construed to effect a transfer of ownership, change of registrar, or Technical or Administrative designees with Registrar.

Cancellation Policy: In an event of cancellation, the lessee is responsible for the remainder of the annual contract. If amount is not paid, the debt will be taken to small claims court in Greenville, SC The lessee will be responsible for the debt and court costs. Any and all legal disputes will be remedied in Greenville, South Carolina

This Agreement supersedes any and all other agreements, either oral or in writing, between the parties hereto with respect to the performance of services by Angels Voice Network, LLC. and contains all of the covenants and agreements between the parties with respect to the rendering of such services in any manner whatsoever. Each party to this Agreement acknowledges that no representations, inducements, promises, or agreements, orally or otherwise, have been made by any party, or anyone acting on behalf of any party, which are not embodied herein, and that no other agreement, statement, or promise not contained in this Agreement shall be valid or binding. Any modification of this Agreement will be effective only if it is in writing signed by the party to be charged.

Partial Invalidity: If any provision of this Agreement is held by a court of competent jurisdiction to be invalid, void, or unenforceable, the remaining provisions shall nevertheless continue in full force without being impaired or invalidated in any way.
